EnerSpar Announces Mindfull Amending Agreement and Resignations of Directors

Calgary, Alberta–(Newsfile Corp. – August 9, 2019) – EnerSpar Corp. (TSXV: ENER) (FSE: 5E0) (“EnerSpar” or the “Company“) announced today that it has entered into an amending agreement (the “Amending Agreement“) with Mindfull Capital Inc. (“Mindfull“) in connection with the business combination agreement previously entered into on April 16, 2019 (the “Business Combination Agreement“). Under the terms of the Amending Agreement, in consideration of certain cash payments to be made to EnerSpar by Mindfull in certain events, the deadline for closing of the business combination transaction (the “Transaction“) has been extended to November 30, 2019 with an expectation of closing by September 15, 2019.

The CEO of EnerSpar, Mr. Jay Richardson, said, “We are pleased that we have reached this Amending Agreement with Mindfull. While we had hoped that the Transaction would have been completed by now, this provides a modest reward for EnerSpar and its shareholders for their patience. At the same time, we are pleased to hear the progress that Mindfull has made both in the development of its business and in the expected magnitude of the capital raises that it is undertaking for future development. EnerSpar shareholders are well positioned to be beneficiaries from Mindfull’s ultimate success.”

Additionally, the Company regrets to announce that two former Directors, Peter Bloch and Donal Carroll, have resigned following the recent Annual and Special Meeting of shareholders.

Jay Richardson, the CEO and Chairman, said, “We thank both of them for their service, especially Peter Bloch who has served since the founding of the Company and worked with us to see it through its Qualifying Transaction.”

In connection with the Transaction, the Company intends to transfer the Baie Johan Beetz project to its new subsidiary company designed to carry on its business particularly the Baie Johan Beetz project when the Mindfull Transaction is completed, and the initial Directors of the subsidiary will be the same as the three remaining Directors elected at the Shareholders’ Meeting: James Richardson, Peter Andrews and John Arnold.

EnerSpar shares will continue halted until the proposed Transaction has closed.
