U.S. Critical Materials and REalloy Inc. Form Strategic Alliance to Advance U.S. Rare Earth Independence

SALT LAKE CITY, April 1, 2026 /PRNewswire/ — U.S. Critical Materials Corp. (“USCM”), a leading rare earth exploration and process technology company, is pleased to announce that it has executed a non-binding Memorandum of Understanding (“MOU”) with REalloys Inc. to collaborate in advancing domestic rare earth and critical mineral supply chain independence for the United States.

Under the MOU, the companies will combine their respective strengths in mineral resources, processing technology, and downstream capabilities to accelerate the development of a fully domestic rare earth supply chain. The collaboration is expected to include potential offtake agreements with REalloys and access to their existing rare earth processing and metallization capabilities at their Department of Defense-supported facility in Ohio. The MOU also establishes a framework for potential strategic investment and equity exchange, joint pursuit of government financing, and coordinated government relations — presenting the US government with a unified, fully domestic HREE supply chain narrative built on zero Chinese involvement at any stage.

USCM’s Sheep Creek project in Montana consists of approximately 334 claims covering roughly 11 square miles and has reported rare earth concentrations of approximately 9% total rare earth elements. The deposit contains economically significant heavy rare earth elements, including dysprosium, terbium, and yttrium, as well as other critical minerals such as gallium, averaging over 300 ppm, a material with extensive defense and advanced technology applications.

Under the MOU, the Parties will advance metallurgical test work, optimize HREE processing flowsheets, and negotiate a definitive long-term offtake agreement, with reasonable efforts to execute within one year of the MOU date.

In parallel, USCM is developing environmentally benign rare earth processing technology in collaboration with Idaho National Laboratory, with the objective of establishing domestic processing capabilities that reduce environmental impact while strengthening national supply chain security.

“This collaboration represents another important step toward establishing a secure domestic rare earth supply chain,” said Harvey Kaye, Executive Chairman of U.S. Critical Materials. “Through the combination of our resource base, our processing technology initiatives, and the capabilities of REalloys and our other strategic partners, we believe U.S. Critical Materials is positioned to play a critical role in helping the United States achieve rare earth independence.

About REalloys Inc.

REalloys Inc. is advancing a fully integrated North American mine-to-magnet supply chain encompassing upstream resource development, midstream processing, and downstream manufacturing. REalloys’ upstream foundation includes its Hoidas Lake rare-earth asset in Saskatchewan and a diversified network of allied feedstock and recycling partners. Together with the Saskatchewan Research Council, REalloys is building a platform to scale North American heavy rare earth midstream separation, refining, and metallization capabilities – creating a coordinated system that processes and converts heavy rare-earth materials from allied and domestic sources into high-purity products. Those refined materials feed directly into REalloys’ downstream manufacturing operations in Euclid, Ohio, where the company produces advanced heavy rare earth metals, alloys, and magnet components for defense, clean-energy, and high-performance industrial applications. REalloys’ Ohio facility serves federal logistics and procurement agencies supporting the Department of Defense, the Department of Energy, and the National Aeronautics and Space Administration, in addition to the broader Defense Industrial Base and Organic Industrial Base.
